Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the services, platform, and website operated by Adexy, Inc. ("Adexy," "we," "us," or "our"). By accessing our website, requesting early access, or engaging our Services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.

Description of Services

Adexy provides an interactive brand media platform that enables brands to build and distribute interactive experiences across digital platforms. We currently partner with Reddit, utilizing Reddit's Devvit developer infrastructure, and may work with additional platforms over time. Our Services include campaign strategy, experience design and development, distribution, and performance reporting.

Access to the platform is provided to brand clients under a separate written agreement. These Terms govern general use of our website and marketing materials.

Acceptable Use

You agree not to:

• Use our website or Services for any unlawful purpose or in violation of any applicable regulations
• Attempt to gain unauthorized access to any portion of our platform or related systems
• Reverse engineer, decompile, or disassemble any part of our Services
• Use our Services to transmit spam, malware, or any content that infringes on the rights of others
• Misrepresent your identity or affiliation in connection with our Services

Intellectual Property

All content, technology, trademarks, and materials associated with Adexy's platform and website — including but not limited to our name, logo, experience templates, and proprietary methodology — are owned by or licensed to Adexy, Inc. and are protected by applicable intellectual property laws.

Nothing in these Terms grants you any right to use Adexy's intellectual property without our express written permission. Brand clients retain ownership of their own creative assets; Adexy retains ownership of the platform, infrastructure, and technology used to deliver campaigns.

Third-Party Platforms

Our Services currently operate on and integrate with Reddit's Devvit platform, and may integrate with additional third-party platforms over time. Your use of any such platform is governed by that platform's own terms of service and community guidelines, which are independent of these Terms. We are not responsible for any third-party platform, its availability, or changes it may make to its developer infrastructure.

Disclaimer of Warranties

Our website and marketing materials are provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that our website will be uninterrupted, error-free, or free of viruses or other harmful components. To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the maximum extent permitted by applicable law, Adexy, Inc. and its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, our website or Services — even if we have been advised of the possibility of such damages.

Our total liability for any claim arising from these Terms or your use of our website shall not exceed the amount you paid to Adexy in the twelve months preceding the claim, or $100 USD if no payment has been made.

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.

Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by updating this document. Your continued use of our website after any changes constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically.
